Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers.
Effective on September 3, 2010, Mr. Mark Kleinman resigned from the Board of
Directors of Doral Financial Corporation (the “Company”). Mr. Kleinman served in
the Audit Committee, the Nomination and Corporate Governance Committee and the
Compensation Committee.
Mr. Kleinman resigned from his position as a result of the dissolution of Doral
Holdings Delaware, LLC. Mr. Kleinman confirmed that there were no disputes or
disagreements with the Company’s management or the other members of the Board of
Directors of the Company in connection with his decision to resign as a director
of the Company.
